PLEASE READ THIS LICENCE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING
THIS SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING BALLOONNOTE YOU
AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE,
DO NOT INSTALL OR USE THE SOFTWARE.

1. PARTIES

This Agreement is between the purchasing organisation (the "Licensee") and
StartAppHouse Ltd ("Licensor"), the developer and publisher of BallooNote.

2. GRANT OF LICENCE

Subject to the terms of this Agreement, StartAppHouse Ltd grants the
Licensee a non-exclusive, non-transferable licence to install and use
BallooNote for up to five (5) named users within the Licensee organisation.
Named users are assigned and managed via the Licensor's licence portal.

3. PERMITTED USE

You may:
  a) Install the software on any computers owned or controlled by the
     Licensee organisation, provided the software is used only by the
     named users assigned to this licence.
  b) Permit up to five (5) named individuals within the Licensee
     organisation to use the software concurrently.
  c) Reassign a seat to a different named user at any time via the
     licence portal, provided the total number of assigned users does
     not exceed five (5) at any one time.
  d) Make backup copies of the software for archival purposes.
  e) Use the software to process engineering drawings and produce
     inspection documentation in the course of the organisation's business.

4. RESTRICTIONS

You may NOT:
  a) Allow more than five (5) named users to use the software under
     this licence at any one time.
  b) Transfer, sublicense, sell, rent, lend, or distribute the software or
     this licence to any external third party.
  c) Make the software available over a network in a manner that allows
     individuals outside the Licensee organisation to access it.
  d) Copy, modify, translate, adapt, reverse engineer, decompile, or
     disassemble the software, except as expressly permitted by applicable
     law.
  e) Remove or alter any proprietary notices, labels, or marks on the
     software.
  f) Use the software as part of a service bureau, time-sharing, or hosted
     service offered to parties outside the Licensee organisation.

5. OWNERSHIP

StartAppHouse Ltd and its licensors retain all title, copyright, and other
intellectual property rights in and to the software. This Agreement does
not transfer any ownership rights to the Licensee.

6. UPDATES AND SUPPORT

This licence entitles the Licensee to download and use updates within the
same major version of the software for all assigned users. Support is
provided via the project's issue tracker. StartAppHouse Ltd makes no
commitment to provide updates or ongoing support beyond what is made
publicly available.

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE ENTIRE RISK
AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE LICENSEE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
STARTAPPHOUSE LTD OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS,
LOSS OF DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR
INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. STARTAPPHOUSE LTD'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT
PAID FOR THIS LICENCE.

9. TERMINATION

This licence is effective until terminated. It will terminate automatically
if the Licensee fails to comply with any term of this Agreement. Upon
termination the Licensee must destroy all copies of the software in its
possession.

10. GOVERNING LAW

This Agreement shall be governed by the laws of England and Wales. Any
disputes shall be subject to the exclusive jurisdiction of the courts of
England and Wales.
